The following End-User License Agreement ("EULA") apply to your use of the any software provided by VESNX SA. website https://www.asp-waf.com , as well as samples hosted at github.com/ASP-WAF or ASPWAF at NuGet as well as any associated services. SOFTWARE LICENSE - End-User License Agreement (EULA)

1. Definitions

For the purposes of this agreement, the following terms shall have the meanings assigned:

"Software" refers to the compiled and decompiled binary, as well as any other artifacts included in NuGet Packages listed under NuGet.
"Licensor" refers to VESNX SA and its designated agents, including Walter Verhoeven and Lambert Snellinx, who hold Intellectual Property Rights to the Software.
"Customer" refers to any individual or entity obtaining a license to use or integrate the Software.
"Valid License" refers to an active and non-expired license, registered at www.asp-waf.com.

2. License Grant

The Licensor grants the Customer a personal, non-transferable, non-exclusive license to use the Software strictly under the conditions of this EULA.

The Customer MAY NOT:

Modify, reverse-engineer, or create derivative works of the Software.
Resell, sublicense, or distribute the Software without written approval.
Use the Software without a Valid License after any trial period expires.
Block communication between the Software and the License Server.

3. Unauthorized Use Penalty Clause (Including Appeals Process for Revenue Estimation)

(Incorporated from VESNX EULA, Section 11.7)

In the event of unauthorized use, the Customer is liable for the following penalties:

Base License Fee:
- €1,500 per developer using or integrating the Software.
- €1,500 per server (including build, development, testing, and production environments).
- €35 per CAL (Client Access License) per user accessing the Software.
True-Up Fee:
- The actual cost of missing licenses + 1% of the company's annual global revenue.
Late Fees:
- 1.5% per month (compounded) from the earliest known instance of unauthorized use.
Legal & Enforcement Costs:
- Minimum €50,000 per claim for investigation and enforcement proceedings.
Revenue-Based Penalty:
- For companies with annual revenue exceeding €5 million → 3% of annual global gross revenue.
- For companies below €5 million → A minimum penalty of €250,000 or 3% of revenue (whichever is higher).
Mandatory Revenue Disclosure & Verification:
- The Customer must provide verified revenue documentation within 15 days.
- Failure to disclose revenue triggers an automatic €5,000,000 penalty.
Appeals Process:
- If disputed, the Customer has 30 days to provide verified financial documents.
- If no valid documents are provided, the estimated penalty remains final and enforceable.

4. Vulnerability Reporting & Security Compliance

(New Section, adapted from VESNX EULA Section 5.1)

If a security flaw is discovered:

The Customer must immediately report the issue via security@vesnx.com.
The Customer may NOT disclose security flaws publicly without prior written consent.
Any unauthorized security testing violates this EULA and may result in license revocation and legal action.

5. Data Collection & Privacy Compliance

The Software collects the following data for license validation & compliance:

Server name, domain name, IP address, user accounts running the Software.
Version of the Software, usage statistics, and blocked requests.

Data is encrypted and stored under GDPR-compliant policies.

6. Termination & Breach Consequences

Licensor may terminate this license immediately if:

The Customer fails to pay the required fees.
The Customer violates any term in this EULA.
The Customer blocks communication between the Software and the License Server.

Upon termination, the Customer must cease all use of the Software and will be liable for all penalties under Section 3.

7. Governing Law & Dispute Resolution

This Agreement shall be governed by and construed under the laws of Luxembourg.

For Customers outside of Europe, this Agreement shall be governed under the laws of New York, USA.

Any disputes shall be resolved in Luxembourg courts, unless otherwise required by law.
